Terms & Conditions

These terms cover your use of ION’s websites and services, including acceptable use of our AI features and participation in SMS response-flow testing.
Introduction
Ion Design & Engineering, Inc., doing business as ION (“ION,” “we,” “us,” or “our”), provides the websites at ion.design and platform.ion.design and related products and services (collectively, the “Services”). These Terms & Conditions (“Terms”) form the agreement governing your access to those Services.
Accessing or using the Services means you accept these Terms. If you cannot accept them, do not access or use the Services. When you act on behalf of an organization, you confirm that you have authority to accept these Terms for that organization. Any separate written agreement with ION controls to the extent it conflicts with these Terms.
1. Use of Website and Services
The Services are available to adults aged 18 or older. Subject to these Terms, ION permits you to access and use the Services for their intended purposes, including your organization’s website and ecommerce operations. This permission is limited, revocable, nonexclusive, and cannot be transferred to another party. You must use the Services lawfully and within the access and permissions granted to you.
2. Account Registration
Some features require an account. Provide truthful, complete registration details and keep them current. Protect your login credentials and restrict access to authorized users. You are responsible for activity through your account and for the permissions you grant to teammates, connected services, and agents. Notify ION if you become aware of unauthorized access.
3. Payment and Refunds
For paid Services, you are responsible for the charges and applicable taxes described in your order or subscription. ION may revise its pricing, subject to any commitments in your agreement. Payments are not refundable except where your agreement, an applicable offer, or the law provides otherwise.
4. Intellectual Property
ION and its licensors retain their rights in the Services, including the software, branding, designs, and materials they supply. Access to the Services does not transfer ownership of that property. Except as expressly permitted by ION or by law, you may not reproduce, alter, distribute, resell, or sublicense it. Rights in customer deliverables may be addressed in a separate written agreement.
5. User Content
You remain responsible for the text, images, data, code, and other materials you submit or connect to the Services (“User Content”). You must have the necessary rights and permissions to provide that content and authorize its use. Do not submit content that violates another person’s rights or applicable law.
You authorize ION to host, process, reproduce, adapt, and display User Content as needed to deliver the Services, including creating and testing website changes you authorize. This nonexclusive, worldwide, royalty-free license may be sublicensed to providers helping us deliver the Services and transferred with the Services. It does not transfer ownership of your User Content to ION.
6. Disclaimer of Warranties
To the extent the law allows, you use the Services at your own risk. ION supplies them on an “as is” and “as available” basis and disclaims express and implied warranties, including merchantability, suitability for a particular purpose, and noninfringement. We do not promise continuous availability, error-free operation, or a particular increase in revenue, traffic, search ranking, or conversions.
AI output and experimental results can be inaccurate or incomplete. Review outputs and proposed changes before relying on them. Information about our handling of personal data is in our Privacy Policy. If your organization has a separate agreement with ION, your administrator can explain any additional privacy terms.
7. Limitation of Liability
Where permitted by law, ION is not responsible for damages resulting from access to, use of, or inability to use the Services, including direct, indirect, incidental, special, consequential, or exemplary damages. This includes lost profits, lost data, and business interruption, even if we were informed that such losses were possible.
If ION is nevertheless liable, our aggregate liability for claims relating to the Services is limited to the fees you paid ION for the Services during the twelve months before the event giving rise to the claim. These limitations do not restrict liability that applicable law does not allow us to exclude or limit.
8. Indemnification
You agree to defend ION, its affiliates, and their respective directors, officers, employees, and agents against third-party claims arising from your misuse of the Services, your User Content, or your breach of these Terms. You will cover resulting liabilities, damages, and reasonable legal fees and expenses, to the extent permitted by law.
9. Termination
ION may suspend or end your account or access to the Services at its discretion, including for a violation of these Terms, subject to applicable law and any separate written agreement. Access may end without advance notice. Ending access does not eliminate payment obligations already incurred or provisions that, by their nature, continue after termination.
10. Governing Law and Jurisdiction
New York State law governs these Terms, excluding its rules for choosing another jurisdiction’s laws. Unless a separate written agreement with ION specifies otherwise, disputes about these Terms or the Services must be brought in courts located in New York State, and you consent to those courts’ exclusive jurisdiction.
11. AI Acceptable Use Policy
a. Background
ION uses AI agents to help teams monitor websites, identify opportunities, draft content and code, and evaluate and publish website improvements. The following rules apply to your use of those features and the systems you connect to them. Your organization remains responsible for its business decisions and for authorizing actions within its accounts.
b. AI processing and permissions
The Services may use automated analysis and natural language processing to respond to instructions and generate proposals. You authorize ION and the providers supporting the Services to process the inputs and connected data you make available for these purposes, within the permissions you grant and subject to our Privacy Policy and applicable agreements. Connect only accounts and data you are authorized to use.
c. Permitted uses
- Analyzing website performance and identifying opportunities to improve content, search visibility, and conversion.
- Creating, reviewing, and publishing authorized website content and code.
- Running experiments and simulations and evaluating their results.
- Using supported integrations and workflows for your organization’s website and ecommerce operations.
- Conducting SMS response-flow tests only under the additional terms in Section 12.
d. Prohibited uses
- Using the Services for unlawful, fraudulent, harmful, or unauthorized activity.
- Providing content or data you do not have permission to share, or unnecessary sensitive information such as passwords, full payment card details, or government identifiers.
- Accessing, changing, or publishing to websites, accounts, or datasets without the owner’s authorization.
- Evading approval requirements, access controls, authentication, security safeguards, or usage limits.
- Introducing malicious code, disrupting the Services, or using automation outside supported interfaces and authorized workflows.
- Reverse engineering the Services, extracting their source code, or making unauthorized copies or derivative products, except where the law permits it.
- Using generated content in ways that infringe intellectual property, privacy, or other third-party rights.
e. Data privacy and security
Limit the information you provide to what the task requires. Review integration permissions and the audiences for any content you publish. Personal information is handled as described in our Privacy Policy and any applicable customer agreement. Your organization’s security requirements also apply to your use of its accounts and data. Suspected misuse may lead to restricted or suspended access.
f. Your organization’s policies
Follow any additional approval, privacy, security, and content policies set by your organization. Ask your administrator about permissions or internal requirements you do not understand before connecting data or authorizing changes.
g. Acknowledgment and responsibility
By using ION’s AI features, you accept this policy and responsibility for your instructions, permissions, and use of outputs. Check factual claims, rights to content, and the effect of proposed changes before approving them. You bear the risks of unauthorized use, unnecessary disclosure of sensitive information, or attempts to bypass safeguards, subject to rights that cannot be waived under applicable law.
12. ION SMS response-flow testing
Program status: proposed. This program is being prepared; publishing these terms does not enroll a phone number or authorize test messages.
Ion Design & Engineering, Inc. (ION) offers voluntary, limited SMS tests of a participating brand’s product, checkout, shipping, and returns support flows. An ION operator or supervised agent sends non-promotional test inquiries from +1 425 671 7867 and records responses to evaluate the flow.
A representative authorized to approve messaging to the receiving number must give express written permission by replying to the ION email invitation below. Merely publishing a phone number, making a purchase, subscribing to a brand’s messages, or viewing these terms does not enroll a number in this program. Consent is not a condition of purchasing goods or services.
Each authorization covers no more than five ION messages during one agreed seven-day test window. Tests stop when the window or message limit is reached or consent is withdrawn. A new test window requires new authorization. Message and data rates may apply. Delivery is not guaranteed. This program does not send promotional messages.
Reply STOP to unsubscribe. Reply HELP for assistance or reply to the ION email that invited you to the test. An ION operator handles program questions. A START reply alone does not authorize a new test window.

Email invitation and consent wording
Subject: Permission for a limited ION SMS support-flow test
Hello [brand representative],
ION would like your permission to test the SMS support response flow for [brand]. With your approval, an ION operator or supervised agent will send non-promotional test inquiries about [authorized topics] from +1 425 671 7867 to the number you specify, and record the responses for our review of the flow.
The test will run from [start date] through [end date, no more than seven days later], with no more than five ION messages. Message and data rates may apply. Participation is optional and is not a condition of any purchase. Reply STOP to any test SMS to unsubscribe. Reply HELP for assistance or reply to this email. No further test will begin without new permission.

If you want to participate, please reply by email with the following completed statement:
“I am authorized to approve messaging to [receiving phone number] for [brand]. I agree to receive up to five non-promotional SMS response-flow test messages from ION at that number from [start date] through [end date] about [authorized topics]. I understand that message and data rates may apply, that consent is optional and not a condition of purchase, and that I can reply STOP to unsubscribe or HELP for assistance. I have reviewed the linked program terms and privacy policy.”
We will not send test SMS without your affirmative authorization.
